Additional Drop Shipper Terms

These Additional Drop Shipper Terms (“Drop Shipper Terms”) are supplemental to the NoblePro Terms and Conditions available at https://uk.noble-pro.com/terms-and-conditions/ (“Site Terms”). In the event of any conflict between these Drop Shipper Terms and the Site Terms, the provisions necessary to implement the drop shipping program shall prevail. By enrolling in the NoblePro drop shipper program, you acknowledge that you have executed the requisite commercial agreement and agree to be bound by these terms in addition to the Site Terms.

1. Definitions

“Drop Shipper” means a retailer or partner authorised to purchase products directly from NoblePro, the product manufacturer, for the purpose of drop shipping directly to end customers.

“Products” refers to any merchandise or items manufactured and offered for sale on the NoblePro website under the drop shipper program. For the purposes of these terms, NoblePro is the product manufacturer responsible for the design, production, and quality assurance of the Products.

“End Customer” means the final purchaser of products who receives delivery directly from NoblePro.

2. Order Processing and Fulfilment

NoblePro is responsible for processing orders received through the NoblePro website in accordance with NoblePro’s fulfilment guidelines. NoblePro will ship the products directly to the end customer on behalf of the drop shipper. The drop shipper is not responsible for handling, packaging, or shipping products. However, the drop shipper must ensure that their customers are promptly informed of order confirmations and shipping details as provided by NoblePro.

3. Pricing, Payment, and Refunds

NoblePro will establish the wholesale pricing for products. Drop shippers may set their retail pricing provided they adhere to any minimum advertised price (MAP) policies, if applicable. All payments are processed through the website’s designated payment gateway. The terms of payment, including schedules, fees, and remittance procedures, are as set forth in the NoblePro Terms and Conditions. Drop shippers must manage refunds, returns, or exchanges in accordance with NoblePro’s established policies, and any exceptions or special handling must be pre-approved by NoblePro.

4. Shipping and Handling

NoblePro is responsible for packaging and shipping products to the end customer in accordance with NoblePro’s shipping guidelines. Order updates will be provided for all shipments, and these updates will be shared with the drop shipper. Any shipping fees and handling charges shall be as specified within the NoblePro Terms and Conditions.

5. Inventory and Product Availability

As drop shippers do not hold any stock, NoblePro is solely responsible for managing inventory and product availability. Any changes to product availability, including product discontinuations or stock-outs, will be managed by NoblePro and communicated to drop shippers promptly to mitigate customer inconvenience.

6. Intellectual Property and Branding

Drop shippers are granted a limited, non-exclusive right to use NoblePro trademarks, logos, and approved marketing materials solely for promoting and selling NoblePro products. All marketing and promotional materials must conform to NoblePro’s brand guidelines. Unauthorised or improper use of intellectual property is prohibited.

7. Confidentiality

Drop shippers agree to maintain the confidentiality of all proprietary and sensitive information, including pricing, order data, customer information, and business processes. This confidentiality obligation shall survive the termination of the drop shipper relationship.

8. Liability, Indemnification, and Insurance

Drop shippers assume full responsibility for any issues, damages, or claims arising from the sale of products that are within their control. Drop shippers are not responsible for manufacturing defects or delivery issues, which remain the responsibility of NoblePro as outlined in the NoblePro Terms and Conditions. Drop shippers agree to indemnify, defend, and hold NoblePro harmless from any claims, losses, or damages resulting from their actions or omissions under these terms. Additionally, drop shippers must maintain adequate insurance coverage as specified in the commercial agreement to cover potential liabilities.

9. Product Quality and Manufacturer’s Warranty

NoblePro, as the sole product manufacturer, is responsible for the quality, design, production, and compliance of all Products offered under the drop shipper program. All warranties, quality assurances, and after-sales support related to the Products are provided solely by NoblePro. Drop shippers shall direct any enquiries or claims regarding product quality or warranty to NoblePro.

10. Customer Communications and Support

Drop shippers are responsible for all communications with the end customer, including responding to enquiries, providing order updates, and offering customer support for issues not related to manufacturing defects or delivery failures. Drop shippers shall provide non-manufacturer defect customer support and ensure that customers receive timely responses regarding their orders. Any issues related to manufacturing defects or delivery failures shall be handled by NoblePro in accordance with the NoblePro Terms and Conditions.

11. Term and Termination

These terms become effective upon enrolment in the drop shipper program and remain in force until terminated. Either party may terminate the drop shipper privileges for breach of these terms or for any reason as outlined in the NoblePro Terms and Conditions. Termination shall require written notice, and upon termination, all rights to use NoblePro’s intellectual property and access to proprietary information must cease immediately. All pending orders and financial obligations incurred prior to termination shall remain enforceable.

12. Compliance with Laws and Best Practices

Drop shippers are required to comply with all applicable UK laws, regulations, and industry standards relating to product sales, shipping, and data protection. Drop shippers agree to adhere to best practices in order processing, customer service, and operational procedures to ensure a high-quality customer experience. Any form of misrepresentation, fraud, or unethical conduct in the promotion or sale of products will result in immediate termination from the program and potential damage claims.

13. Amendments and Modifications

NoblePro reserves the right to modify these Drop Shipper Terms at any time. Any such modifications will be communicated via the website or through direct notice. Continued participation in the drop shipper program following any changes constitutes acceptance of the revised terms.

14. Governing Law and Dispute Resolution

These terms shall be governed by and construed in accordance with the laws of the United Kingdom. Any disputes arising under these terms shall be resolved in accordance with the dispute resolution procedures outlined in the commercial agreement, unless otherwise required by law.

15. Miscellaneous

If any provision of these Drop Shipper Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. These terms, together with the NoblePro Site Terms, constitute the entire agreement between you and NoblePro with respect to your participation in the drop shipper program. All notices regarding these terms shall be provided in writing in accordance with the methods specified in the commercial agreement.

16. Independent Contractor Status

The drop shipper is an independent contractor and nothing in these terms shall be construed to create a partnership, joint venture, or employer-employee relationship between the drop shipper and NoblePro.

17. Data Protection and GDPR Compliance

Drop shippers shall comply with the requirements of the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018, as well as any other applicable data protection laws. Drop shippers must ensure that all customer data is handled, stored, and processed securely, and is used solely for purposes related to the drop shipper program. Customer data must not be shared with any third parties unless expressly authorised by NoblePro or required by law.

18. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these terms due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, strikes, lockouts, or governmental actions. In the event of a force majeure event, the affected party shall promptly notify the other party, and the time for performance shall be extended by a period equivalent to the duration of the force majeure event.

By enrolling in the NoblePro drop shipper program, you confirm that you have read, understood, and agree to be bound by these additional Drop Shipper Terms along with the NoblePro Site Terms and the executed commercial agreement.
